Within the Global Legal function, the department “M&A, Global Competition & Corporate Transactions” serves as a trusted legal partner to businesses worldwide, delivering pragmatic, solution-oriented legal advice and support, particularly in relation to DHL Group’s global M&A activities. As a Center of Expertise, the team works closely with regional legal colleagues across the organization, providing legal guidance on acquisitions, divestments, joint ventures, and corporate restructuring projects worldwide.

Senior Legal Counsel M&A (m/f/d)

Your responsibilities

Lead and manage high-profile global M&A transactions of significant strategic and financial importance, serving as the single legal point of contact for senior management and key internal and external stakeholders throughout the transaction lifecycle

• Provide comprehensive legal advice, risk assessment, transaction management and negotiation support across all phases of mergers, acquisitions and divestitures, ensuring that DHL Group’s legal interests are effectively protected while supporting business objectives and complying with applicable laws and internal policies, including:
  • Structuring M&A transactions and conducting early-stage identification and assessment of legal opportunities and risks
  • Developing legal recommendations, strategic options and decision papers for senior and executive leadership within DHL Group
  • Collaborating closely with the Global Competition team and key internal stakeholders, including Corporate Development, Corporate M&A, Compliance, Commercial, HR and external legal counsel
  • Managing and overseeing legal due diligence processes
  • Drafting, reviewing and negotiating transaction documentation, including the translation of due diligence findings into appropriate contractual protections for DHL Group
  • Supporting signing and closing processes through to successful completion
  • Providing legal support during post-closing activities, including warranty and indemnity matters, participation in post-closing reviews, and legal advisory support during integration phases
• Act as the primary legal interface within DHL Legal Services, coordinating closely with regional legal teams and external law firms, including:
  • Serving as the central point of contact for all legal matters related to assigned M&A transactions, including due diligence, approval processes and negotiations
  • Ensuring efficient communication and information flow between subject matter experts, external counsel and project stakeholders
  • Providing legal guidance and recommendations to senior management on complex legal issues with significant commercial implications

• Drive the analysis, implementation and continuous improvement of legal processes, policies and governance standards across the Group to support strategic business objectives, including:
  • Identifying legal risks and improvement opportunities and setting priorities for process and quality enhancements
  • Developing and maintaining internal M&A policies, standards and best practices
• Contribute to the further development of relevant manuals, playbooks, training materials, policies and other knowledge-management resources

Your profile

• Fully qualified lawyer (Second German State Examination), ideally complemented by an international Master of Laws (LL.M.) or a comparable international legal qualification
• Extensive professional experience in M&A law, preferably gained with a leading international law firm
• Proven track record in managing complex, high-value transactions and projects, including cross-border matters
• Experience advising senior executives and key stakeholders within a global corporate environment
• Experience in the Logistics, Supply Chain & Healthcare (LSH) sector and/or e-commerce is advantageous
• Excellent English and German language skills; additional language capabilities are a plus
• Ability to adapt quickly to changing circumstances and unforeseen challenges
• Strong leadership skills with the ability to guide and influence virtual and cross-functional teams
• Self-driven, structured, and highly organized working style
• Strong negotiation and influencing skills, combined with sound judgement and a high sense of accountability
• Excellent stakeholder management skills, including in complex international environments
